The Trustee of the Plan is Norcros Group (Trustee) Ltd. The Trustee Board is responsible for ensuring that the Plan is run in accordance with the Rules and is legally bound to protect the interests of the members. There are six Directors of the Trustee Board, three of whom are nominated by the Company and three by the membership. The member nominated Directors are made up of one active member, one deferred member and one pensioner member.

The statutory power of appointing new or additional Trustees is vested with Norcros Group (Trustee) Ltd. Norcros Limited has the power of appointment of all Directors of Norcros Group (Trustee) Limited but is constrained by the provisions of the constitution. The power to remove any Trustee Director from office requires a unanimous vote of the remaining members of the Board, although the Chairman can be removed from office by Norcros Limited.

The Board of Norcros Group (Trustee) Limited meets at least once a quarter, the quorum for such meetings is four, of which at least one is a company appointed director and at least one is from the elected/selected members. Voting is by simple majority with the Chairman having the casting vote if necessary.

The full Board meets four times each year. The Board has approved the setting up of an Investment Committee and an Audit Committee who also meet during the year. Both committees report to the Board.
